These terms govern your use of Sofapay's website, dashboard, API and related services (the “Services”). By creating an account you agree to them on behalf of yourself and the business you represent.
1. Your account
- You must provide accurate information and keep it up to date.
- You're responsible for activity on your account and for keeping your credentials and API keys secret. We strongly recommend two-factor authentication.
- Tell us immediately if you suspect unauthorised access.
2. Test mode and verification
You can use test mode as soon as you sign up; no real money moves in test mode. To accept live payments you must complete business verification (KYB) and be approved. We may request more information and may decline an application.
3. Fees and settlement
- Fees are set out on our Pricing page and are deducted from each successful payment.
- Funds from successful payments settle to your available balance on the schedule shown in your dashboard.
- We may hold funds where reasonably necessary, for example for open disputes, suspected fraud or legal requirements.
4. Refunds, disputes and chargebacks
- You're responsible for refunds to your customers. Transaction fees are not returned on refunds.
- If a customer disputes a payment, the disputed amount is held while the dispute is open. You can respond with evidence within the stated deadline.
- If a dispute is lost or not answered, the amount is returned to the customer and deducted from your balance. If your balance is insufficient, you owe us the shortfall.
5. Acceptable use
You may not use the Services for illegal goods or services, fraud, money laundering, or any business we tell you we can't support. You may not attempt to bypass our security or risk controls, or misuse the API.
6. Suspension and termination
We may suspend or close your account if you breach these terms, if we're required to by law or a partner, or to protect customers or Sofapay. While suspended, new payments and payouts stop; refunds to customers remain possible. You may close your account at any time after settling what you owe.
7. Data
Our Privacy Policy explains how we handle personal data. You must have a lawful basis for any customer data you send us and must handle data you receive from Sofapay lawfully.
8. Liability
The Services are provided with reasonable skill and care. To the extent the law allows, we're not liable for indirect or consequential losses, and our total liability is limited to the fees you paid us in the three months before the claim.
9. Changes
We may update these terms. We'll give notice of material changes before they take effect.
10. Governing law
These terms are governed by the laws of the Federal Republic of Nigeria, and disputes are subject to the jurisdiction of Nigerian courts.
